Mr. Dulaney has a broad general corporate and transactional practice developed both through extensive in-house and large firm experience. His practice focuses on providing practical legal advice to help business owners decide how to structure and finance their start-up, assist with the purchase and sale of businesses, prepare shareholder and operating agreements and implement employee option and bonus plans.  While he assists all types of businesses, he continues to have a particular focus on advising high growth entrepreneurís on how to structure their company for angel, venture or private equity funding, grow toward and execute a successful exit. His practice areas include all facets of buying and selling businesses, angel, venture, private equity and mezzanine financing, including private placements, employee stock option and bonus plans, employment related issues, technology licensing, securities, pre-litigation dispute resolution.
